Terms of Use

200WEST Corporation (the "Company") (hereinafter referred to as the "Company") provides the following terms and conditions (hereinafter referred to as the "Terms and Conditions") for the use of "UrFund" and other services operated by the Company (hereinafter referred to as the "Services"). The following terms of use (hereinafter referred to as the "Terms of Use") shall apply to your use of the "UrFund" and other services operated by the Company (hereinafter referred to as the "Services"). The following terms of use (the "Terms of Use") are set forth below. By creating an account required for use of the Service or by using the Service, the customer is deemed to have agreed to these Terms of Use.

Article 1 (Contents of the Service)
The Company may change the contents of the Service or discontinue providing the Service without notice to you, and shall not be liable for any damages incurred by you as a result of such changes or discontinuation.

Article 2 (Fees and Payment Methods)
You shall pay the fee for use of the Service, which shall be determined separately by the Company, by the method designated by the Company, only when designated by the Company.

Article 3 (ID and Password)
1. You shall set your own ID and password for the Service.
2. You shall be responsible for the use and management of your ID and password, and you shall not allow any third party to use or transfer your ID and password granted to you.

Article 4 (Compliance and Acceptance)
You shall comply with and agree to the following items when using the Services.
(i) You shall not use the Services (any and all acts of using the Services by posting, publishing, displaying, providing, or otherwise, including acts of merely browsing, hereinafter referred to as "Use"). (v) If a customer violates any provision of this Agreement, the Company may delete information provided by the customer or take any other necessary action without prior notice to the customer.
(vi) The Company does not support, represent, or guarantee the accuracy, completeness, legality, or any other aspect of the information, etc. provided by the customer in the Service or any other information, etc. provided by any person other than the customer. Furthermore, there is a possibility that you may come into contact with information that is offensive, harmful, inaccurate, or inappropriate through the use of the service, and we shall not be liable for any damages incurred by you or any third party as a result of such information.

Article 5 (Prohibited Matters)
You shall not engage in any of the following acts when using the Service.

(ii) Acts that defame the Company (including the Company's officers and employees), other customers, or third parties. (iii) Any act that infringes on the privacy of other customers or third parties by posting personal information such as names, telephone numbers, addresses, etc. (iv) Any political activity, electioneering activity, or any other act that is likely to cause harm to the reputation of the Company or other third parties.
(iv) Political activities, election activities, or similar activities.
(v) Missionary activities or solicitation of activities related to a specific religion, organization, group, etc. (vi) Acts of racial, ideological, or religious discrimination (vii) Acts that violate the rights of others
(vi) Acts that discriminate or promote discrimination based on race, ideology, creed, etc. (vii) Acts that infringe on the privacy of the users of the Service.
(vii) Acts of using or duplicating information, etc. provided by the Service beyond the scope of personal use.
(viii) Use of information obtained from the Service for commercial purposes, unless otherwise stipulated.
(ix) Transmitting or writing content that contains software, viruses, or other computer code, files, or programs designed to interfere with, destroy, or limit the functionality of computer software or hardware, or communications equipment.
(x) Transmitting or writing content that contains software, viruses, or other computer code, files, or programs designed to interfere with, destroy, or limit the functionality of the Company (including officers and employees of the Company) (x) To interfere with the intellectual property rights (including copyrights, patent rights, utility model rights, design rights, trademark rights, know-how, and any other intellectual property rights and the right to receive them) of the Company (including officers and employees of the Company) or any third party. (xii) Actions that are or may be offensive to public order and morals or laws and regulations.
(xiii) Providing harmful, obscene, or violent information, or information that includes such depictions.
(xiv) Criminal acts or acts that may lead to criminal acts.
(xv) Malicious, discriminatory, or other acts that may cause discomfort to other customers or third parties.
(xvi) Actions that interfere with the operation of the Service or damage the credibility of the Company (including the Company's officers and employees). (viii) Acts that interfere with the operation of the Service or damage the credibility of the Company (including officers and employees of the Company).
(xvii) Acts of providing another person's information, etc. by using false personal information or by impersonating another person.
(xviii) Posting false or untrue information, or information that merely promotes rumors or rumors.
(xix) acts of altering all or part of the contents sent by the Company
(xx) Other acts that the Company deems inappropriate.

Article 6 (Emergency suspension of the Service)
1. The Company may suspend or discontinue the Service, in whole or in part, without prior notice to the Customer, in any of the following cases
(i) When maintenance of the Service or other systems necessary to provide the Service, when maintenance or construction of telecommunications facilities is unavoidable, or when there is an unavoidable failure of these facilities.
(ii) When it is difficult to provide normal service due to significant load or failure of the service, or when the Company judges that it is difficult to provide normal service.
(iii) When the Company recognizes the possibility of significant damage to the customer or a third party due to the provision of this Service, such as data falsification or hacking
(iv) When provision of the Service becomes difficult due to suspension of telecommunication services by telecommunication carriers or domestic or foreign telecommunication carriers, power supply services by electric power companies, or other public services
(v) When an emergency situation occurs or is likely to occur due to an earthquake, tsunami, typhoon, lightning, epidemic or other natural disaster, war, civil war, enactment, revision or abolition of laws and regulations, or other force majeure
(vi) In any other case in which the Company deems it necessary to suspend or urgently suspend provision of the Service.
2. the Company shall not be liable for any damages incurred by the customer as a result of actions taken in accordance with the preceding paragraph.

Article 7 (Handling of Intellectual Property Rights)
1 You shall reserve all rights to any Content that you transmit, post, or display on or through the Services.
2. You shall not use (reproduce, sell, publish, publicly display, etc.) any information on the Service beyond the scope stipulated by law, etc. without the consent of the rights holder.
3. When you transmit information on the Service, you grant us the right to use (process, excerpt, reproduce, publish, translate, etc.) the information protected by intellectual property rights on a worldwide, non-exclusive, and free-of-charge basis, and you shall not grant us any copyrights (including rights to secondary works) on the information. (including rights related to secondary works) (4) You shall not exercise intellectual property rights such as copyrights (including rights related to secondary works) and moral rights in relation to said information against us.
4. If you violate any of the preceding paragraphs and cause a problem with a third party, such as a rights holder, you shall resolve the problem at your own responsibility and expense.

Article 8 (Report of Infringement)
We reserve the right to delete any information that violates these Terms of Use (including copyright or trademark infringement or other misuse of intellectual property rights, identity theft, illegal acts, or harassment). Reports of violations by rightful right holders should be sent to:

Article 9 (Limitation of Liability)
1. you agree to access and use the service at your own risk. You understand and agree that the Services are provided on an "as is" basis. 
2. We shall not be liable for (i) the completeness, accuracy, availability, timeliness, security or reliability of the Service; (ii) any damage to your computer system, loss of data or other damage resulting from access to or use of the Service; (iii) deletion or failure to store or transmit any content or other communications maintained by the Service or failure to transmit; and (iv) any representation and warranty, and shall have no liability whatsoever, as to whether the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
3. If any dispute arises between you or between you and any third party in connection with the Service (including, but not limited to, disputes related to information transmitted by you), you agree to indemnify, defend, and hold harmless the third party from and against any and all claims and liabilities arising out of such dispute. In the event that a dispute arises between you or a third party in relation to the Service (including, but not limited to, disputes related to information transmitted by you), you shall resolve such dispute at your own responsibility, and the Company shall not be liable for any loss or damage incurred.
4. The Company shall compensate you for ordinary and direct damages actually incurred by you as a direct result of the Company's breach of its obligations under these Terms and Conditions. However, the total cumulative amount of such compensation shall be limited to 10,000,000 yen. The scope of the preceding paragraph shall be the limit of compensation and liability based on the Company's responsibility, and the Company shall not be liable for damages arising from reasons not attributable to the Company, damages arising from special circumstances whether or not foreseen by the Company, or lost profits.

Article 10 (Exclusion of Anti-Social Forces)
(1) The Customer and the Company shall not be liable to the other party if they, their officers or their employees are, at the present time, a member of a crime syndicate, a member of a crime syndicate, a person for whom five years have not passed since he/she ceased to be a member of a crime syndicate, a quasi-constituent of a crime syndicate, a company related to a crime syndicate, a general meeting house, a social movement advocacy group or special intelligence violent group, or any other person equivalent thereto (hereinafter such "Bouryokudan, etc."). (hereinafter referred to as "Bouryokudanin, etc."), and that they do not fall under any of the following categories. (i) The company shall guarantee that it does not fall under any of the following items, and shall make a firm promise that it will not fall under any of these items in the future.
(i) Having a relationship in which it is recognized that the management is controlled by a Boryokudan-in etc.
(ii) Having a relationship in which it is deemed that the Boryokudan-in etc. is substantially involved in the management
(iii) To have a relationship that is deemed to involve unjustified use of Boryokudan-in etc., such as for the purpose of pursuing unjust profits for oneself or a third party, or for the purpose of inflicting damage on a third party.
(iv) Having a relationship such as providing funds or benefits to Boryokudan-in etc.
(v) To have a socially reprehensible relationship with Bouryokudanin, etc. in which an officer or a person substantially involved in the management of the company is a Bouryokudanin, etc. 2.
(2) The Customer and the Company may immediately terminate the contract based on these Terms and Conditions without any notice if, contrary to the representations and warranties in the preceding paragraph, it is found that the other party or an officer or employee of the other party is a Bouryokudanin, etc. or falls under any of the items in the preceding paragraph.

Article 11 (Governing Law and Jurisdiction)
1. This Agreement shall be governed by and construed in accordance with the laws of Japan.
2. The Tokyo District Court shall be the court of first instance for any disputes arising in connection with the Service.

Article 12 (Scope of Application and Modification of these Terms of Use)
The Company may modify these Terms of Use without prior consent of the customer or subsequent notice, and the modified Terms of Use shall take effect from the time the modified Terms of Use are displayed on the Company's website. Information, etc. posted prior to the modification of these Terms of Use shall also be subject to the modified Terms of Use.
